These Terms of Service (hereinafter "Terms") govern the access and use of the Ochora software platform, published by OCHORA PAYMENT SARLU, a Single-Member Limited Liability Company registered with the Trade and Movable Property Credit Register, with its registered office located in Lomé, Amadahomé District, Togo. The company is governed by the OHADA Uniform Act on Commercial Companies. By subscribing to our services or using the platform, you agree to these Terms without reservation.
Ochora provides a SaaS (Software as a Service) financial management solution for educational institutions. The platform enables: administrative management of tuition payments; integration of local payment methods (Mobile Money, Cards) for collecting fees from parents.
Using the platform requires creating a professional account. You warrant that the information provided during registration is accurate and up to date. Each institution is responsible for the confidentiality of its access credentials and account activity. You must immediately notify Ochora of any unauthorized use.
Access to Ochora's management features requires a subscription (monthly or yearly). Merchant of Record: Our checkout process is conducted by our online reseller, Paddle.com. Paddle.com is the Merchant of Record for all our software subscription orders. Paddle provides customer service for subscription payment-related inquiries and handles refunds. Renewal: Unless canceled by the user before the due date, the subscription is automatically renewed for the same duration at the current rate. Taxes: Displayed prices may include applicable taxes based on your geographic location, automatically calculated by Paddle at checkout.
Ochora acts as a technical service provider facilitating the connection between the educational institution and local payment aggregators (such as MTN, Moov, Flooz, Wave, etc.). Ochora does not hold the collected funds; these transit through authorized financial partners. Ochora disclaims any responsibility for direct financial disputes between a parent and the educational institution regarding tuition fees.
Software Subscription Refund (SaaS): You have 14 days after your initial subscription payment to request a full refund. After 14 days, no refunds will be issued for the current billing period. You may cancel automatic renewal at any time. School Fee Refunds: Refunds of school fees paid by parents through the platform are handled directly by the educational institution concerned.
All elements of the Ochora platform (source code, design, interfaces, databases, logos) remain the exclusive property of OCHORA PAYMENT SARLU. The subscription grants only a limited, non-exclusive, and non-transferable right of use.
Ochora strives to ensure 24/7 service availability. However, access may be suspended for maintenance or force majeure. Ochora cannot be held liable for: malfunctions attributable to telecommunications operators or third-party payment aggregators; data loss resulting from user negligence (loss of credentials); any indirect damage or loss of business.
These Terms are governed by Togolese law and OHADA provisions. In case of dispute, the parties agree to seek an amicable solution. Failing that, the competent courts of Lomé shall have sole jurisdiction, except for provisions otherwise imposed by the international payment manager (Paddle) for disputes strictly related to subscription billing.
